CYBEXO CMP SDK – Commercial Licence

Applies to every official CYBEXO CMP Software Development Kit
(iOS, Android, JavaScript/Web and any future ports) distributed by
Cybexo Inc. (“CYBEXO”).
1. Grant of Licence
CYBEXO grants the customer that holds an active, paid CYBEXO CMP SaaS subscription (“You”) a non-exclusive, non-transferable, revocable licence to:
- Download the CYBEXO CMP SDK binaries and documentation (“Software”);
- Integrate the Software into Your own first-party applications or websites that are registered under Your CYBEXO account; and
- Distribute those applications to end-users in accordance with this licence.
2. Restrictions
You shall NOT:

| Resell, sublicense or expose the SDK itself | Only your in-house teams may use the compiled binaries; third-party developers must obtain their own licence. |
| Modify, reverse-engineer or de-obfuscate | Except as expressly permitted by applicable law. |
| Remove legal notices | Copyright, trademark and attribution notices must remain intact. |
| Use without an active, paid subscription | Trial or expired accounts are not covered. |
| Violate privacy / data-protection law or IAB TCF & GPP policies | You are responsible for compliant use of the SDK. |
3. Ownership
The Software is licensed, not sold. CYBEXO retains all right, title and interest, including all intellectual-property rights.
4. Fees & Termination
- The licence is contingent on timely payment of all SaaS fees.
- It terminates automatically if Your subscription expires, is suspended, or is cancelled for any reason.
- Upon termination You must remove the Software from all applications and cease further distribution.
5. Support & Updates
Bug fixes, security patches and feature updates are delivered under the Service-Level Terms of Your SaaS agreement. CYBEXO may push critical fixes without prior notice.
6. Disclaimer of Warranty
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT.
7. Limitation of Liability
IN NO EVENT SHALL CYBEXO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Direct damages, if any, are capped at the total SaaS subscription fees paid by You during the twelve (12) months preceding the claim.
8. Governing Law
This Licence is governed by, and construed in accordance with, the laws of the State of New York, USA, without regard to conflict-of-law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in New York County.
